Seller Terms

1. Overview
These Seller Terms apply to any account registered as a Supplier on DockSpare. They set out the rules specific to selling on the Platform and incorporate the Supplier-facing parts of our Marketplace Liability Terms. They form part of, and should be read together with, our Terms of Service, our Acceptable Use Policy, and (once relevant to you) our Subscription & Billing Terms. If anything here conflicts with the Terms of Service, the Terms of Service control.
2. Eligibility to Sell
You must be a genuine business offering goods or services relevant to yacht and vessel supply to register as a Supplier. Your account is placed in a pending-verification state and cannot submit quotes until DockSpare reviews and verifies it. We may decline to verify, or later revoke verification from, an account we believe misrepresents the business behind it.
3. Your Storefront & Listings
You are solely responsible for the accuracy of your storefront and every listing you publish — company details, categories and service areas, product/service catalog entries, pricing, and any images or documents you upload. Keep them current; an inaccurate listing (wrong stock, wrong lead time, wrong specification) wastes a Yacht User's time and is also a violation of our Acceptable Use Policy.
What your storefront can include depends on your subscription tier — for example, a product/service catalog, images, a website link, and social links are not available on the Free tier. Attempting to circumvent a tier limitation (for example, embedding a catalog inside a field not meant for it) is a violation of these Terms.
4. Verification & the "Verified" Badge
The Platform uses two distinct indicators that both use the word "verified": your account's own verification status (required before you can transact at all), and the "Verified" badge shown on your public storefront. Both confirm only that DockSpare completed a basic check on the business details you provided — neither is a certification of your goods, services, licensing, insurance, or financial standing, and the Verified badge is never sold as part of any subscription tier or add-on. A separate, paid "featured placement" ranking boost (see our Subscription & Billing Terms) is unrelated to verification and does not affect it.
5. Pricing, Quotes & Payment
You set your own prices and quotes; DockSpare does not review or guarantee them. Once you submit a quote or accept an Order, you are expected to honor the price and terms you offered, consistent with our Community Guidelines. Payment for any Order is arranged directly between you and the Yacht User — DockSpare does not process, hold, or guarantee payment for any transaction. You are responsible for agreeing payment terms you're comfortable with, and for your own invoicing, bookkeeping, and tax obligations arising from sales made through the Platform.
6. Fulfilment & Delivery
You are responsible for fulfilling Orders you accept — delivery logistics, timing, and on-site handling at the port, marina, or berth specified by the Yacht User. DockSpare is not responsible for, and takes no part in, delivery arrangements between you and a Yacht User. If you cannot fulfil an Order as quoted, communicate proactively rather than going silent, consistent with our Community Guidelines.
7. Team Accounts
You may invite additional people to your Supplier account, up to your tier's team-seat limit. Only the account Owner may edit the company profile, send or cancel team invites, or remove a team Member; a Member has the same day-to-day access as the Owner to products, orders, and RFQs. 8. Subscription Tier & Usage Limits
Your tier determines your monthly allowance of offers (quotes) you may submit, and what your storefront can include. See our Subscription & Billing Terms for how tiers, limits, billing, and the featured-placement add-on work.
9. Disputes With Buyers
Any dispute over the quality, timeliness, pricing, or fulfilment of an Order is between you and the Yacht User involved. DockSpare has no obligation to mediate or arbitrate such disputes, though we may, at our sole discretion, use information available on the Platform (such as order message history) to help both sides resolve it.
10. Insurance
DockSpare does not provide insurance covering the goods or services you supply, or deliveries you make. You are responsible for maintaining insurance appropriate to your business, including any coverage required by the ports or marinas you operate in.
11. Indemnification
You agree to indemnify DockSpare against any claim brought by a Yacht User or third party arising from goods or services you supplied, a listing you published, or your conduct on the Platform.
12. Force Majeure
Neither DockSpare nor any Supplier is responsible for delay or failure to perform caused by events beyond reasonable control, including severe weather, port closures, customs delays, or strikes.
13. Suspension & Termination
We may suspend or terminate your Supplier account for violating these Seller Terms, our Terms of Service, or our Acceptable Use Policy, consistent with the enforcement approach described in those documents.
14. Governing Law
These Seller Terms are governed by the laws of Malta, consistent with our Terms of Service, and form part of the agreement between you and DockSpare.
