Subscription & Billing Terms

1. Overview
These Subscription & Billing Terms ("Billing Terms") describe how DockSpare's paid subscription tiers work: what each tier includes, what happens when you reach a usage limit, how billing is intended to run once live, and how cancellation and refunds work. They form part of, and should be read together with, our Terms of Service. If anything here conflicts with the Terms of Service, the Terms of Service control.
These Billing Terms apply separately to Yacht Users and Suppliers — see Section 3 — since each role has its own subscription tiers, priced and billed independently. Upgrading or downgrading on one side has no effect on the other.
2. Not Yet Live: What This Means Today
As of the date above, no paid tier can actually be purchased, and no payment is collected from any account. The tier structure, usage limits, and enforcement described below are already active in the product — every account already has a tier and a monthly usage allowance — but every account today is on the Free tier by default, and the ability to select and pay for a paid tier has not yet been built. You will not be charged anything by using the Platform in its current state.
We are publishing this document now, ahead of that capability going live, so the rules are clear from the outset rather than introduced later without notice. We will update the "Last updated" date above, and provide notice consistent with Section 13, once paid tiers can actually be purchased.
3. Subscription Tiers
Yacht User tiers: Free, Pro, Premium, and Fleet. Supplier tiers: Free, Pro, Premium, and Enterprise. Each tier's included usage limits, team-seat allowance, and (for Suppliers) catalog and profile features are published on the Platform's plan-comparison pages before you are asked to select or pay for one. Final pricing per tier is not yet set; it will be published there once determined, and you will always see the price before confirming an upgrade.
A "Verified" badge on a Supplier's storefront is never sold as part of any tier — see our Marketplace Liability Terms for what that badge does and does not mean.
4. Usage Limits & What Happens When You Hit One
Each tier includes a monthly allowance appropriate to your role: for Yacht Users, a number of RFQs (Requests for Quote) you may send per month, and a cap on how many Suppliers a single RFQ may be sent to at once; for Suppliers, a number of offers (quotes) you may submit per month. Sending one RFQ counts as a single use of your monthly RFQ allowance regardless of how many Suppliers it reaches, subject to your tier's per-RFQ Supplier cap.
These limits are enforced at the moment you attempt to send an RFQ or submit an offer. If you have reached your tier's limit, that action is blocked until the limit resets at the start of your next billing period, or until you upgrade to a tier with a higher or unlimited allowance. There is no automatic overage billing — DockSpare does not charge you extra for exceeding a limit; it simply prevents the action from completing. The Platform shows your remaining allowance on the relevant screen before you take an action that would use it.
5. Team Seats & Shared Billing
A Yacht User or Supplier account may invite additional people to share access to that same account, up to the team-seat allowance included in its tier. Usage limits under Section 4 are shared across the whole team, not allocated per person — for example, if three crew members share one vessel account, an RFQ sent by any of them counts against that vessel's single monthly allowance. Subscription fees are billed to the account as a whole (specifically, its owner), not per individual team member.
6. Featured Placement Add-On
Suppliers on the Premium or Enterprise tier may purchase a separate "featured placement" add-on, priced independently of the subscription tier itself, which promotes that Supplier's listing above the normal sort order on Browse Suppliers and product search, marked with a "Sponsored" label. This add-on does not affect, and is not affected by, the Marketplace Liability Terms' explanation of what a "Verified" badge means — the two are unrelated. As of the date above, this add-on cannot yet be self-purchased and is only available at DockSpare's discretion while billing infrastructure is built out; that will change once Section 8 below is live.
7. Billing Cadence & Free Trial
Once purchasable, paid tiers will be available billed either monthly or yearly, at your choice. Every paid tier, for both Yacht Users and Suppliers, will include a one-month free trial of equal length regardless of tier — you will not be charged during the trial, and may cancel before it ends at no cost. If you do not cancel, the trial converts automatically into a paid subscription at the end of the month, or, if no valid payment method is on file, your account reverts to the Free tier instead of being charged.
8. Payment Processor & Taxes
DockSpare intends to process subscription payments through Paddle, acting as Merchant of Record. As Merchant of Record, Paddle is the seller of record for each subscription transaction and is responsible for calculating, collecting, and remitting applicable sales tax, VAT, or similar transaction taxes across buyer countries — you will see the total price, tax included, before confirming a purchase. Your payment details are handled by Paddle directly; DockSpare does not itself store your card or bank details. This arrangement has not yet gone live (see Section 2) and remains subject to Paddle's own onboarding and eligibility confirmation.
9. Failed Payments
If a scheduled payment for your subscription fails, there is no grace period: your account is downgraded the same day, and (for Supplier accounts) blocked from submitting new offers until the payment issue is resolved or you select a new tier — a stricter outcome than simply reverting to the Free tier's normal monthly allowance. We will attempt to notify you when a payment fails and give you the opportunity to update your payment method.
10. Upgrades & Downgrades
You may upgrade to a higher tier at any time; the new tier's limits and features apply immediately. You may downgrade at any time; a downgrade takes effect at the end of your current billing period, so you keep the tier you paid for until it's used up, and your usage allowance for the remainder of the current period is not retroactively reduced.
11. Cancellation
You may cancel a paid subscription at any time from your account's billing settings, once that self-service tooling is live. Cancellation takes effect at the end of your current billing period — you keep access to your paid tier's features and allowances until then, and your account reverts to Free afterward. Cancelling does not delete your account, listings, or order history.
12. Refunds
Subscription fees are non-refundable for any partial billing period, except where required by applicable consumer-protection law in your country. If you cancel mid-cycle, you are not charged again but do not receive a refund for the unused portion of the period already paid for. This default is intended to be reviewed and confirmed by DockSpare's business owner before any tier is actually offered for sale — see the template notice above.
13. Changes to Pricing or These Terms
We may change tier pricing, included limits, or these Billing Terms from time to time. For an existing paid subscriber, a price increase will not take effect until your next renewal after we've given you reasonable advance notice; you may cancel before it applies. We will update the "Last updated" date above whenever these Billing Terms change.
14. Governing Law
These Billing Terms are governed by the laws of Malta, consistent with our Terms of Service, and form part of the agreement between you and DockSpare.
